 Roles and Responsibilities of the Board 
The primary function of the Board, in accordance with the Constitution, is to manage the business of GEN VIC and in particular be responsible for the effective administration through leadership, guidance and oversight The Board is accountable to members for the performance of GEN VIC through corporate and strategic governance to service the needs of its members. It is the responsibility of the Board to ensure the proper and efficient performance of the functions of GEN VIC, and to determine the strategic plan and policy with respect to any matter. The Board is not responsible for the management or the day-to-day administration; that role is the responsibility of the CEO. The Board is required to govern in a way that: 
• Promotes the achievement of the purposes of GEN VIC;
• Promotes the proper use and management of resources; 
• Promotes the financial sustainability of GEN VIC; 
• Establishes and maintains appropriate systems of risk oversight and management, and internal control. The key responsibilities of the Board are to: 
• Contribute to the development of and approve the strategic directions of GEN VIC and monitor the implementation of strategy; 
• Appoint the CEO and oversee the activities of the CEO in carrying out their delegated duties, responsibilities and authorities, and supervise and evaluate their performance. 
• Determine appropriate delegations as the entity empowered with all authority to delegate such powers as it determines; 
• Review and approve organisational governance policies 
• Monitor and review strategic Board and committee performance ensuring the Board strives for continuous improvement, 
• Review and approve the annual budget and financial plans developed and recommended by the Finance and Risk Committee; 
• Prepare and present an Annual Report and audited financial statements. 
• Review, ratify and monitor systems of risk management and internal control and legal compliance; and 
• Receive advice and consider recommendations from the Committees of the Board. 

 Key Selection Criteria 
GEN VIC is seeking Board Directors with skills and experience in gender equity and governance, who are aligned with the Vision and Purpose of the organisation. Other competencies (non-essential): GEN VIC is seeking Board Directors with experience/skills in relation to media, communications, marketing and philanthropic stakeholders.
