About Usikimye:
Usikimye is a survivor-centred, feminist, and trauma-informed organisation dedicated to eradicating gender-based violence (GBV) and femicide in Kenya. Our work centres around creating safe spaces, providing essential services to survivors and advocating for systemic change to challenge the patriarchal structures that perpetuate violence. As our
organisation grows, our governance framework must evolve to support our mission. A comprehensive Board Manual is a key component of this framework, ensuring that our board members are well-equipped to guide the organisation effectively.

OBJECTIVES
The main objectives of the consultancy are to:
1. Collaborate with Usikimye’s leadership to develop a comprehensive Board Manual that outlines roles, responsibilities, and operational procedures.
2. Ensure the Board Manual reflects best governance practices and aligns with Usikimye’s mission, values, and strategic objectives.
3. Provide a clear framework for decision-making processes, board member responsibilities, and organisational policies.

SCOPE OF THE CONSULTANCY
The operational scope of this consultancy includes:
1. Assessing Governance Needs: Engage with Usikimye’s leadership to understand the specific needs and expectations for board governance.
2. Developing the Board Manual: Assist in creating a detailed Board Manual that includes sections on roles and responsibilities, decision-making processes, conflict of interest policies, and other relevant governance practices.
3. Aligning with Organisational Values: Ensure that the Board Manual is aligned with Usikimye’s feminist values and reflects our commitment to ethical governance.
4. Review and Validation: Collaborate with the board and senior management to review and validate the draft Board Manual, ensuring it meets the organisation’s needs.
5. Finalisation: Prepare the final version of the Board Manual and present it to Usikimye’s leadership and board for approval.

CONSULTANT PROFILE
● Experience:
  • ○ Minimum of 5 years experience in organisational governance and policy development, preferably within non-profit organisations.
  • ○ Proven experience in developing Board Manuals or similar governance documents.
  • ○ Demonstrated knowledge of governance best practices and legal requirements in Kenya.
  • ○ Note: We value experience and practical knowledge. If you have significant experience in governance without a formal background in this area, we still encourage you to apply.

● Skills:
  • ○ Strong writing and organisational skills.
  • ○ Ability to engage effectively with diverse stakeholders, including board members and senior leadership.
  • ○ Experience in facilitating consultations and feedback sessions.

● Education:
  • ○ A degree in Organisational Development, Business Administration, Law, or a related field. Please note that we will focus on your relevant experience more than your formal degree. We encourage you to apply if you have significant experience in this area.
  • ○ Professional certifications related to governance or board development are an added advantage but are not required if significant relevant experience is demonstrated.
  • ○ Note: We value experience and practical knowledge. If you have significant experience in this field, a formal degree is also not required, and we encourage you to apply.
